2. Binding Effect and Acceptance

By accessing and using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If any provision is unacceptable to you, your sole remedy is to cease all use of the Site immediately. Continued use of the Site following the publication of any modifications to these Terms constitutes your acceptance of those modifications.

These Terms do not create any obligations relating to the supply of Softbetix’s commercial services (including software development, reselling, licensing, or maintenance and support). Such obligations are governed exclusively by the written agreements entered into between Softbetix and the relevant client for the provision of those services.

3. Business Use

This Site functions as a corporate information portal directed exclusively toward business entities, commercial partners, institutional clients, and professional stakeholders. All content is presented in a business-to-business context. This Site does not target or solicit consumers, and accordingly the Consumer Rights Act 2015 does not apply to access to or use of this Site.

4. Authorised and Prohibited Conduct

4.1 Permitted Activities

Subject to full compliance with these Terms, you may access the Site to review information about Softbetix’s business activities, service offerings, and corporate announcements, and to make contact with Softbetix for legitimate commercial purposes.

4.2 Prohibited Activities

The following activities constitute material breaches of these Terms:

(b) circumventing, disabling, or interfering with any security feature or access control;

(c) introducing harmful code, including trojans, worms, logic bombs, time bombs, or corrupted data files;

(d) impersonating any person or entity or misrepresenting your affiliation with any organisation;

(e) exploiting any aspect of the Site for purposes directly competitive to Softbetix’s business interests; or

(f) using the Site to transmit unsolicited commercial communications.

5. Intellectual Property

5.1 Ownership of Site Content

The entirety of materials published on the Site, including written content, visual designs, photographic images, company branding, trade marks, source code, databases, and multimedia presentations, constitutes the proprietary assets of Softbetix or its licensors and is protected by the Intellectual Property Rights of England and Wales and by applicable international treaties.

5.2 No Transfer of Rights

Nothing in these Terms transfers ownership, title, or proprietary interest in the Site’s content to you. All rights not expressly granted are reserved by Softbetix. You are granted only a revocable, non-exclusive, non-transferable privilege to view the content of the Site for lawful purposes, which may be terminated by Softbetix without notice.

5.3 Third-Party Software

Where the Site contains information about Third-Party Software products that Softbetix supplies and licenses in its capacity as an authorised reseller, all Intellectual Property Rights in such products remain vested in the relevant third-party owner. Access to and use of any such software is subject to the licence terms of the relevant third-party owner and any reseller or distribution agreement between that owner and Softbetix. Nothing on the Site constitutes a grant of any licence or right to use Third-Party Software.

6. Technical Infrastructure and Availability

Softbetix maintains discretionary control over the Site’s architecture, functionality, and availability. Scheduled maintenance, infrastructure upgrades, security implementations, or unforeseen technical circumstances may result in temporary inaccessibility. Softbetix undertakes no obligation to provide continuous or uninterrupted access to the Site or to maintain any particular feature or content indefinitely.

7. Information Security

Softbetix implements appropriate technical safeguards, including transport layer security, to protect communications via the Site. However, the inherent characteristics of internet-based communications mean that absolute security cannot be guaranteed. You acknowledge that data transmission over the internet involves inherent risk. Softbetix’s security obligations are limited to the exercise of reasonable commercial efforts consistent with current industry standards.

8. Disclaimer of Warranties

8.1 General

The Site is provided on an “as is” and “as available” basis without any representation or warranty of any kind. To the fullest extent permitted by the law of England and Wales, Softbetix expressly disclaims all warranties, whether statutory, express, or implied, including any implied warranties of satisfactory quality, fitness for a particular purpose, or non-infringement, in relation to the Site and its content.

Nothing in these Terms excludes or limits any warranty that cannot lawfully be excluded or limited under applicable law.

8.2 Content Accuracy

Information presented on the Site is provided for general informational purposes only and may contain inaccuracies, omissions, or become outdated. Softbetix assumes no responsibility for maintaining current information or for any consequences arising from reliance upon Site content. You should verify information independently and obtain appropriate professional advice before acting upon anything contained on the Site.

9. Limitation of Liability

9.1 Excluded Losses

To the fullest extent permitted by the law of England and Wales, and subject to Clause 9.3 below, Softbetix (including its shareholders, directors, employees, agents, affiliates, and service providers) shall not be liable, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any:

(c) loss of goodwill or reputation;

(d) loss of data or corruption of data; or

(e) indirect, consequential, incidental, or special loss or damage,

arising out of or in connection with your use of, or inability to use, the Site, even if Softbetix has been advised of the possibility of such losses.

9.2 Cap on Direct Liability

To the fullest extent permitted by applicable law, Softbetix’s total aggregate liability to you in respect of all claims arising out of or in connection with your use of the Site shall not exceed ten pounds sterling (£10).

9.3 Exclusions from Limitation

Nothing in these Terms excludes or limits Softbetix’s liability for:

(a) death or personal injury caused by Softbetix’s negligence;

(b) fraud or fraudulent misrepresentation; or

(c) any other matter in respect of which it would be unlawful for Softbetix to exclude or restrict liability, including liability that cannot be excluded or limited under the Unfair Contract Terms Act 1977.

The exclusions and limitations in Clauses 9.1 and 9.2 apply to the maximum extent permitted by law and are subject to Clause 9.3 in all respects.

10. Indemnification

You agree to defend, indemnify, and hold harmless Softbetix and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (i) your use of the Site in contravention of these Terms; (ii) your infringement of any third party’s Intellectual Property Rights or other rights; (iii) your submission of inaccurate or unlawful information; or (iv) your breach of any applicable statute or regulation.

11. Links to Third-Party Websites

The Site may contain links to external websites operated by third parties. Such links are provided for convenience only and do not imply any endorsement by Softbetix of the content of those websites. Softbetix has no control over and accepts no responsibility for the content, privacy practices, or availability of any linked external website. You access linked websites entirely at your own risk.

12. Personal Data

Our collection, use, retention, and disclosure of Personal Data is carried out in accordance with our Privacy Notice and Cookies Policy, which are published on the Site. Our Privacy Notice and Cookies Policy form part of the legal framework governing your use of the Site, and you are encouraged to review them.

While Softbetix may endeavour to provide reasonable notice of material changes, it is your responsibility to review these Terms periodically. The current version is identifiable by the “Effective Date” above. Your continued use of the Site following any modification constitutes your acceptance of the revised Terms.

14. Assignment

You may not assign, delegate, or transfer any of your rights or obligations under these Terms without Softbetix’s prior written consent. Softbetix may freely assign these Terms or any rights hereunder to any successor entity, affiliate, or third party in connection with a merger, acquisition, corporate reorganisation, or sale of assets.

15. Waiver and Severability

Softbetix’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or Softbetix’s right to enforce it subsequently. Any waiver must be in writing and signed by an authorised representative of Softbetix. If any provision of these Terms is determined to be unlawful, void, or unenforceable under the law of England and Wales, it shall be severed from the remaining provisions, which shall continue in full force and effect. A severed provision shall be modified to the minimum extent necessary to make it enforceable.

16. Third-Party Rights

These Terms do not confer any rights on any third party under the Contracts (Rights of Third Parties) Act 1999. Only the parties to these Terms may enforce their provisions.

17. Entire Agreement

These Terms (together with the Privacy Notice and Cookies Policy) constitute the entire agreement between you and Softbetix in respect of your use of the Site and supersede all prior representations, agreements, or understandings relating to that subject matter. They do not govern the supply of any of Softbetix’s commercial services, which are subject to separate written agreements.

18. Governing Law and Jurisdiction

18.1 Applicable Law

These Terms are governed by and construed in accordance with the law of England and Wales.

18.2 Dispute Resolution

Any dispute, controversy, or claim arising from or in connection with these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the courts of England and Wales. You irrevocably submit to the personal jurisdiction of those courts for such purposes.
